1. Definitions

In these Terms and Conditions, the following terms have the meanings set out below:

• "Agreement" means these Terms and Conditions together with any signed engagement proposal or service agreement.
• "Service" means the AI integration programs, consulting, and advisory services provided by Sawan Link, including the ROI Framework, Product Acceleration, and Talent Development programs.
• "User" means any individual who accesses or uses this website.
• "Client" means any organization or individual that enters into a service engagement with Sawan Link.
• "We / Us / Our" refers to Sawan Link Co., Ltd.
• "Content" means all text, data, tools, dashboards, frameworks, documentation, and materials produced or provided in connection with our services.
• "Website" means the site located at sawanlink.sbs.

2. Acceptance of Terms

By accessing this website or engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree, you should discontinue use of this website and not engage our services.

You must be at least 18 years of age and have the legal capacity to enter into binding agreements in order to engage our services. By proceeding, you represent that these conditions are met.

3. Service Description

Sawan Link provides structured AI integration and workforce development programs for organizations operating primarily in Thailand. Our current service offerings are:

• AI Impact Measurement & ROI Framework — 3-week program (฿6,300 THB)
• AI-Driven Product Development Acceleration — 12-week program (฿18,600 THB)
• Full-Cycle AI Talent Development & Retention Program — 16-week program (฿24,900 THB)

Specific service scope, deliverables, and timelines are detailed in a separate written engagement proposal provided prior to commencement. In the event of a conflict between these Terms and a signed engagement proposal, the engagement proposal takes precedence on matters of specific scope and pricing.

We reserve the right to modify, suspend, or discontinue any service offering with reasonable notice to existing clients.

4. Client Responsibilities

Clients engaging our services agree to:

• Provide accurate and complete information required for the delivery of services
• Ensure nominated team members are available for scheduled sessions and reviews
• Not use our deliverables in any manner that violates applicable Thai law or regulation
• Maintain the confidentiality of any proprietary methodologies shared during engagements
• Ensure that data provided to us for analysis has been collected lawfully and that appropriate consent or legal basis exists under the PDPA
• Not share, resell, or sublicense service deliverables to third parties without prior written consent

5. Acceptable Use of This Website

Users of this website agree not to:

• Use automated tools to scrape, copy, or extract content from this website
• Attempt to gain unauthorized access to any part of this website or its hosting infrastructure
• Transmit malicious code, spam, or content that violates applicable law
• Impersonate Sawan Link or any of its personnel
• Use this website for any purpose that is unlawful or prohibited by these Terms

6. Intellectual Property

All content on this website — including text, design, structure, and methodologies — is the property of Sawan Link Co., Ltd. and is protected under applicable Thai intellectual property law.

Deliverables created for a specific client engagement are provided under a limited, non-exclusive, non-transferable license for use within that client's organization. Underlying methodologies, frameworks, and tooling approaches developed by Sawan Link remain the intellectual property of Sawan Link.

Clients may not reproduce, distribute, or create derivative works from Sawan Link's proprietary materials without prior written consent.

7. Payment Terms

All services are priced in Thai Baht (THB). Payment terms are specified in the engagement proposal. Standard terms are:

• 50% deposit due upon signing the engagement agreement
• Remaining balance due upon program completion and deliverable handoff
• Payment by bank transfer to our designated Thai bank account
• Invoices are subject to applicable Thai VAT

Cancellation by a client after work has commenced may result in partial forfeiture of the deposit, proportional to work completed, as detailed in the engagement proposal.

Refund policy: Where a program cannot be completed due to circumstances on our side, a proportional refund will be calculated based on work completed and returned within 30 days.

8. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during an engagement. Sawan Link will not disclose client business data, internal processes, or commercially sensitive information to third parties without written consent, except as required by law. Clients agree to maintain the confidentiality of Sawan Link's proprietary methodologies and tools.

9. Disclaimers

Our services are provided on a professional best-efforts basis. We do not represent or warrant that any specific business outcome, metric improvement, or financial result will be achieved as a result of engaging our services. All recommendations are based on the information available at the time of engagement and are subject to the limitations of that information.

10. Limitation of Liability

To the extent permitted by Thai law, Sawan Link's total liability to any client for any claim arising from or related to a service engagement shall not exceed the total fees paid by that client for the specific program giving rise to the claim.

We shall not be liable for indirect, consequential, or incidental losses including loss of profit, loss of data, or loss of business opportunity, even where we have been advised of the possibility of such losses.

11. Indemnification

You agree to indemnify and hold harmless Sawan Link Co., Ltd., its directors, employees, and contractors from any claims, damages, or expenses arising from your breach of these Terms, your use of our services in violation of applicable law, or any data you provide that was not lawfully collected or processed.

12. Termination

Either party may terminate an engagement by providing written notice. In such cases, the client is liable for payment proportional to work completed up to the termination date. Sawan Link may terminate an engagement with immediate effect where a client has materially breached these Terms or applicable law.

Provisions relating to intellectual property, confidentiality, payment obligations, and limitation of liability survive termination of any engagement.

13. Governing Law & Dispute Resolution

These Terms and any engagement governed by them are subject to the laws of the Kingdom of Thailand. The courts of Bangkok, Thailand shall have exclusive jurisdiction over any disputes arising from these Terms or any engagement.

Before initiating formal proceedings, the parties agree to attempt to resolve any dispute through good-faith negotiation for a period of 30 days following written notice of the dispute.

14. General Provisions

• Entire Agreement: These Terms, together with any signed engagement proposal, constitute the entire agreement between the parties.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force.
• Waiver: Failure to enforce any provision of these Terms does not constitute a waiver of future enforcement of that provision.
• Assignment: Clients may not assign their rights or obligations without our prior written consent.
• Notices: Formal notices should be sent by email to [email protected] or by post to our registered address.

15. Changes to These Terms

We may update these Terms periodically. The updated version will be posted on this page with a revised "Last Updated" date. For active clients, material changes will be communicated by email with reasonable advance notice. Continued use of our services after the effective date of changes constitutes acceptance.
